Proposal Validity & Revisions. All custom proposal pricing and availability are valid for 5 business days from the date of delivery. After this period, both may be subject to change. The proposal includes up to one (1) complimentary revision. Additional revisions may incur a design fee. Once booked, there are unlimited revisions up to 8 weeks prior to the event date.
Retainer. A 50% non-refundable retainer must be submitted with this contract to reserve the Event Date. Payment can be made via:
1. ACH Payment via Invoice Pay Link via ACH payment preferred. No additional fee.
2. Credit Card via Invoice Pay Link. 3% Processing fee applies to credit card payments.
Payment. After signing, you’ll be directed to a single invoice showing two payment amounts and dates. The first payment (50% deposit) is due upon signing and must be submitted within two (2) days. If the deposit is not received within this timeframe, the contract may become void or the date may no longer be held. The remaining balance is due six (6) weeks prior to the event date. If the final payment is not received by this date, the Company may cancel the contract, and the 50% non-refundable deposit will not be refunded.
Substitutions. Any images used in the proposal are for reference purposes only. Design and color scheme of the proposed look will be followed as closely as possible and every effort will be made to obtain desired flower varieties. However, in the case of unforeseen weather and growing conditions, transportation delays, unacceptable flower conditions or other causes beyond the control of the Company, the Company reserves the right to make comparable substitutions.
Rentals. All vases, including floral mechanics used, candle-holders and chimney tubes, and pedestals, arches, chuppahs or other structures provided by the Company remain the property of the Company. All rentals will be collected after the event in the same condition. An additional fee will be applied and sent in a separate invoice for items removed and/or damaged by the Client and/or guests.
Modifications. The Client may request changes to the proposal, subject to agreement by the Company by eight (8) weeks prior to the event date. Any reductions to the original order may not exceed 30% of the total. Adjustments made to the order may result in changes in the original invoice amount due.
Photos. Any photos taken by the Company at your event are the property of the designer and can be used for personal and/or promotional purposes. Professional photos shared by the Client with the Company or shared by the professional photographer(s) may be used with consent of the photographer(s) and will be used by the Company with proper credit and social media tags that link to the photographer’s Facebook page, Instagram page or Website.
Indemnification & Limitation of Liability The Client agrees to indemnify and hold the Company harmless from and against all damages and losses resulting from personal injury, death or property damage arising from or related to the actual or alleged negligent or intentional act, or breach of contract by any third party, except to the extent that any such loss or damage is caused by the Company’s negligence, intentional act or breach of contract. The Company shall not be responsible for any damages incurred by the Client relating to or arising from any contract between the Client and a third party. The Company is not liable for any damages or injuries to the Client, their guests or others at their event or property rented or owned.
Tariffs and Market Fluctuations. Client acknowledges that the floral industry is subject to unpredictable changes in the cost of goods due to tariffs, import restrictions, supply chain disruptions, and seasonal availability. As such, Pala Floral reserves the right to adjust pricing if there is a significant increase (10% or more) in the wholesale cost of flowers or materials due to external economic factors beyond our control. Any such increase will be communicated in writing with documentation, and adjustments will be made in good faith. If the cost difference materially impacts the agreed-upon design or scope, both parties agree to work collaboratively on appropriate substitutions or modifications.
Force Majeure. If circumstances beyond the control of either the Company or the Client make it unsafe, illegal, or impractical to move forward with the event on the scheduled date, such as extreme weather, natural disasters, transportation disruptions, government restrictions, acts of terrorism, or public health emergencies, the Company will credit all payments made (minus the non-refundable retainer and any actual costs incurred) toward a future event within one year, based on availability and agreement of a new date. If a new date cannot be agreed upon, the Client will be refunded any remaining balance after deducting the non-refundable retainer and any actual costs already incurred by the Company.
Weather. If the Client chooses to reschedule the event due to expected or day-of weather conditions (such as heavy rain, storms, or excessive heat), the Company will do its best to accommodate the new date, depending on availability. Rescheduling may lead to additional charges for labor, replacement flowers, or rentals. The non-refundable deposit, along with any costs already incurred for the event, will not be refunded. If rescheduling is not possible, the event will be treated as a cancellation under the terms below. Since flowers are perishable and ordered in advance, cancellations due to weather are not refundable once product has been purchased.
Cancellation & Amendments Should the Client cancel the Company’s services or cancel the event, no refunds will be made less than forty-five (45) days from the Event Date. The Company reserves the right to cancel at any time prior to sixty (60) days before the Event, and a full refund will be given.
Any amendments or changes to the proposal and/or this contract shall be made (a) in writing signed by both parties or (b) by email and confirmed by the receiving party. The original budget and invoice includes creative fees and cost of production (materials, labor, transportation, delivery, travel expenses, tear-down, rentals). The Company is undertaking services for floral design and floral design production only
